These terms govern your access to and use of our services. Please read them carefully.

1. Acceptance of Terms

This is a binding agreement. By creating an account, clicking "I Agree," or using the PrivateHub.ai website and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by PRAGMIO ("we," "us," "our"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

PrivateHub.ai provides a platform where businesses can create public-facing, machine-readable profiles containing their business information ("User Content"). The core purpose of this Service is to make this data widely and publicly available in a structured format to increase the likelihood that it will be understood, used, and cited by third parties, including artificial intelligence (AI) systems, search engines, and language models.

3. User Accounts & Responsibilities

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and accept all risks of unauthorized access to your account. You are responsible for all activities that occur under your account.
  • Be at least 18 years of age and of legal age to form a binding contract.

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, untrue, or in violation of these Terms.

4. Intellectual Property

Using our Service does not give you ownership of any intellectual property rights in our Service or its content (other than your own User Content). All rights to the Service's technology, branding, and design are the exclusive property of PRAGMIO. You may not reuse our code, branding, or design without express written permission.

5. Your Content and The License You Grant

The information you submit to create your public business profile is considered "User Content."

5.1. Your Responsibilities and Warranties

By submitting User Content, you represent and warrant that you are the owner of the business or have full legal authority to submit this information, that it is accurate, and that it does not infringe on any third party's rights.

5.2. The Public License You Grant

This is the most critical part of our agreement. To enable the core function of our Service, you agree to license the User Content you provide to the public under the Creative Commons Attribution 4.0 International (CC BY 4.0) license.

This means you grant the general public—including any person, company, or AI system—a perpetual, irrevocable, worldwide, royalty-free license to use your User Content for any purpose, including commercial purposes and for training AI models. You acknowledge that this public licensing is a fundamental and required component of the Service you are paying for.

6. API Usage

If you use our Application Programming Interfaces (APIs), you agree to use them in accordance with our API documentation. You shall not use the APIs in a way that is illegal, abusive, or intended to circumvent our system's limitations. We reserve the right to throttle or terminate API access at our discretion.

7. Prohibited Conduct

You agree not to do any of the following:

  • Submit information for a business you are not authorized to represent, or provide any false or misleading information.
  • Resell, duplicate, or otherwise exploit any portion of the Service for commercial purposes without our express written permission.
  • Modify, adapt, or hack the Service. You may not reverse engineer or reuse source code.
  • Use any automated means, such as scrapers or bots, to access the Service, other than through our provided APIs.
  • Attempt to disrupt or interfere with the security, integrity, or performance of the Service.
  • Use the Service for any illegal or unauthorized purpose.

8. Fees, Payment, and Cancellation

The Service is offered on a subscription basis. By signing up, you agree to pay the fees specified on our Pricing page. All fees are due in advance. You may cancel your subscription at any time from your account dashboard. Your Service will remain active until the end of your current paid billing period.

8.1. Refund Policy

Fees are non-refundable except where required by law. If you cancel your subscription, you will not receive a refund or credit for any partial subscription period.

9. Termination of Service by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include a breach of these Terms, requests by law enforcement, or extended periods of inactivity.

10. Disclaimer of Warranties and Limitation of Liability

The Service is provided on an "as is" and "as available" basis. We make no warranties of any kind.

Specifically, we do not and cannot guarantee that you or your business will be cited by any specific AI model or search engine. Our Service is designed only to increase the technical and legal feasibility of your content being cited.

To the fullest extent permitted by law, the total liability of PRAGMIO for any claim under these Terms is limited to the amount you paid us to use the Service in the 12 months preceding the claim.

11. Indemnification

You agree to defend and indemnify PRAGMIO from any claim arising out of your violation of these Terms or your submission of User Content that infringes on the rights of a third party.

12. General Provisions

  • Governing Law: These Terms shall be governed by the laws of the State of New Jersey, United States.
  • Severability: If any part of these Terms is found to be invalid or unenforceable, the remaining parts will remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service or by email. Your continued use of the Service constitutes your acceptance of the modified Terms.
